Charity Commission website details four main types of charity structures from which you can choose from, dependent on whether or not as Trustees:

  • You wish to be personally liable for the debts of the charity or not,
  • Whether the Charity would have a wider membership or not
  • Whether the charity would employ staff or enter contracts in its name or otherwise.

The four main types of charity structure are:

  • Charity Incorporated Organisation [CIO]
  • Charitable Company [Limited by Guarantee]
  • Unincorporated Association
  • Trust

The first two charity structures have limited liability status, as such the charity can enter into commercial transactions and contracts in its name, own property in its name and employ staff.

The core advantage of limited liability as espoused elsewhere is that the Directors/Trustees would not be liable for the debts of the charity in the event of insolvency or dissolution [if they have not broken the law at any point nor have been negligent]

An Unincorporated Association and a Trust do not have limited liability and the Charity cannot own property in its name but must own property through nominees who may be trustees of the charity.

The Charity Commission ‘What makes a Charity’ Guide CC4 in respect of a ‘charitable purpose’ states:

  • A Charitable Purpose must fall within the descriptions of purposes in the Charities Act
  • A Charitable Purpose must be for the public benefit

Therefore, for an organisation to be charitable, a purpose must satisfy both of the above criteria. The purpose must be certain such that it can be enforced by the court.

For the intent of establishing a charitable organisation you should consider whether your charitable purposes include some of the following:

  • The Prevention or relief of poverty
  • The Advancement of Education
  • The Advancement of Religion
  • The Advancement of Health or saving lives
  • The advancement of citizenship or community development

There are much more charitable purposes that qualify please contact us by email at customerservices@primeformation.co.uk and we would be able to assist you further.

All Your Questions Answered

Essential Requirements of Registering a Charity with Charity Commission?

The process of registering a charity with the Charity Commission is straightforward but tedious. Documents, signatures and legal consultations are required. To register a charity with the Charity Commission you would need to do the following:

  • Check the alternatives to setting up a charity and be certain that no other charity in your area of influence or residence is not already engaged in the services and objects that you aim to deliver
  • Check whether your organization is eligible to be a Charity. You would need to examine the objects of your organization to determine whether they are charitable in line with the law as set out in the Charity Act of 2011.
  • Find Trustees who have the experience, training, financial acumen and commercial awareness and passion for your charitable objects. They should set the template for the strategic direction of the charity.
  • Choose a charity structure as detailed above. You may only choose out of four charity structures depending on whether or not you wish to operate through a corporate structure. And whether or not you would operate a wider membership system of governance or a Trustee led governance.
  • Choose a name for your charity. You would have to check the Charity Commission register and the Companies House register when forming a Charitable Company to ensure the name chosen has neither been taken nor similar to an existing name on both registers.
  • Decide and write out your charity purposes. You might need professional help to word the Object Clause in a manner acceptable to the Charity Commission.
  • Create a Governing Document based on the charity structure you have decided upon.
  • Ensure you meet the Public Benefit requirement. Your Charitable objects and the way they are executed must be beneficial to the public in general or at least a specific section of the public in particular.
  • Register your charity. We would gladly assist you through this tedious process and complete the online registration process on your behalf with the Charity Commission to get your Charity registered.
